    Terms of use.

    Last updated January 1, 2026

These Terms of Use (“Terms”) govern your access to and use of the Mendria website, public materials, demos, previews, and any related content or services made available by Mendria, Inc. (“Mendria,” “we,” or “us”).

By accessing or using our website or services, you agree to be bound by these Terms. If you do not agree, do not use the website or services.

    Definitions

“Authorized User” means any individual authorized by Mendria or by an applicable customer organization to access a Mendria platform, demo environment, report, or related service.

“Customer Data” means information, documents, files, asset-level materials, portfolio information, operating data, financial data, or other content submitted to Mendria by or on behalf of a customer, prospect, pilot participant, or Authorized User.

“Documentation” means any user guides, product descriptions, technical materials, or other documentation Mendria makes available regarding its services.

“Mendria Materials” means the Mendria website, platform, software, interfaces, reports, dashboards, demos, text, graphics, workflows, scoring logic, methodologies, models, analysis frameworks, and related content.

“Output” means reports, scores, forecasts, scenarios, recommendations, summaries, analyses, or other results generated or delivered by Mendria based on available data, customer-provided information, public information, or Mendria’s proprietary methods.

“Services” means Mendria’s software, analytics, demonstrations, reports, pilot analyses, underwriting intelligence tools, and related services made available by Mendria from time to time.

    Access and Use

Subject to these Terms, Mendria grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the website and any materials made available to you solely for lawful internal evaluation, informational, or business purposes.

Where Mendria provides access to a product environment, demo workspace, or customer portal, each Authorized User must use their own credentials. Account credentials may not be shared.

Mendria may modify, suspend, or discontinue any portion of the website, demos, or public materials at any time.

    Use Restrictions

You may not, and may not permit any other person to:

    • Copy, modify, reproduce, distribute, publish, or create derivative works from Mendria Materials except as expressly permitted by Mendria.
    • Rent, lease, sublicense, sell, resell, transfer, or otherwise make Mendria Materials or Services available to any third party.
    • Reverse engineer, decompile, disassemble, or attempt to derive source code, algorithms, models, scoring logic, or underlying methodologies from Mendria Materials or Services.
    • Use Mendria Materials or Output to develop, train, benchmark, or improve a competing product, underwriting tool, analytics platform, or model.
    • Scrape, crawl, harvest, or systematically extract data, reports, or content from the Mendria website or platform.
    • Circumvent security features, authentication controls, rate limits, or access restrictions.
    • Upload malware, unlawful content, or materials that infringe third-party rights.
    • Use Mendria Materials or Output in a misleading manner or represent illustrative or preview materials as final underwriting conclusions.

    Ownership

    Mendria Intellectual Property

Mendria owns all right, title, and interest in and to the Mendria Materials, Services, methodologies, workflows, models, scoring logic, interfaces, reports, product designs, trademarks, and all related intellectual property.

Nothing in these Terms transfers any ownership rights to you. Any rights not expressly granted are reserved by Mendria.

    Customer Data

You retain ownership of Customer Data that you provide to Mendria. Mendria’s use of Customer Data in connection with a pilot, analysis, platform engagement, or customer relationship will be governed by the applicable nondisclosure agreement, pilot agreement, services agreement, order form, or other written agreement between the parties.

    Output

Unless otherwise specified in a separate written agreement, Output is provided for your internal evaluation or business use only. Mendria retains ownership of its underlying models, methodologies, software, frameworks, templates, and analytical systems used to generate Output.

Output may be based on public data, modeled assumptions, incomplete information, estimates, or forward-looking scenarios. Similar or overlapping insights may be generated for different users or customers where based on similar facts, market conditions, or analytical methods.

    Feedback

If you provide ideas, suggestions, comments, or other feedback regarding Mendria’s website, platform, or services, Mendria may use that feedback without restriction or obligation to you.

    Confidentiality

The website may include publicly available information about Mendria’s business and services. However, certain demos, reports, previews, product walkthroughs, or business discussions may be shared on a limited-access or confidential basis.

You agree not to disclose, reproduce, or distribute any non-public Mendria materials provided to you, including confidential demos, product roadmaps, pricing, analytical methodologies, screenshots, prototype interfaces, or private reports, except as permitted by Mendria in writing.

Where a separate nondisclosure agreement or customer agreement applies, that agreement controls in the event of any conflict.

    Customer Data and Data Protection

Mendria may receive Customer Data in connection with demo preparation, sample analyses, pilots, platform access, or customer engagements. Mendria will handle such information in accordance with any applicable written agreement between the parties.

Mendria’s collection and use of personal data from website visitors, business contacts, and direct communications is described in our Privacy Policy.

To the extent Mendria processes personal data on behalf of a customer under a commercial agreement, the parties may enter into a separate data processing agreement or related data protection terms where appropriate.

Public Demos, Previews, and Illustrative Materials

Mendria may provide public or private previews, sample dashboards, case studies, reports, and demonstration materials to illustrate product functionality.

Unless expressly stated otherwise in a written agreement:

    • Public demos and previews are illustrative only.
    • Public-data previews are not underwriting-grade analyses.
    • Outputs may rely on incomplete, estimated, modeled, or publicly available information.
    • Demonstration values, forecasts, probabilities, action plans, or scenarios should not be treated as final recommendations or binding conclusions.
    • Full customer-grade analysis may require additional asset-level, operating, financing, insurance, regulatory, or other diligence inputs.

No Professional Advice or Binding Underwriting Determination

Mendria provides analytical tools and decision-support information. Mendria does not provide legal, tax, accounting, appraisal, brokerage, lending, insurance placement, or investment advisory services through the website or public materials.

Nothing on the website, in a demo, or in general informational Output constitutes:

    • Investment advice
    • A valuation or appraisal
    • A credit decision or lending commitment
    • An insurance coverage determination or insurance placement recommendation
    • Legal, regulatory, tax, or accounting advice
    • A guarantee of refinancing proceeds, exit pricing, insurance terms, or asset performance

Users remain responsible for their own diligence, underwriting, investment, financing, insurance, and legal decisions. Because Mendria discusses forward-looking model outputs and business outcomes, this section is especially important; regulators have continued to scrutinize inaccurate or overstated AI and analytics claims, so the terms should avoid any implication that outputs are guaranteed or independently dispositive.

    Separate Agreements

These Terms govern general access to and use of the Mendria website, public materials, and any services not otherwise governed by a separate written agreement.

If you or your organization enters into a nondisclosure agreement, pilot agreement, order form, master services agreement, subscription agreement, statement of work, or other written agreement with Mendria, that agreement governs the applicable relationship. In the event of a conflict between these Terms and a signed written agreement, the signed written agreement controls.

    Fees and Payment

Any fees, billing terms, payment obligations, pilot pricing, subscription terms, or professional services charges will be set forth in a separate written agreement, proposal, order form, or invoice issued by Mendria.

Unless otherwise agreed in writing, access to public website materials does not create any payment obligation.

    Service Availability

Mendria may use commercially reasonable efforts to maintain the availability of its website and services, but does not guarantee uninterrupted access to public pages, demos, previews, or any non-contracted platform environment.

Any service level commitments, uptime obligations, support response times, or delivery timelines will apply only where expressly stated in a separate written agreement.

    Warranties and Disclaimers

The website, Mendria Materials, public demos, and any non-contracted services are provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, Mendria disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, and availability.

    Mendria does not warrant that:

    • The website or services will be uninterrupted or error-free.
    • Any Output will be complete, precise, or free from uncertainty.
    • Any forecast, probability, modeled scenario, or recommendation will occur in practice.
    • Any identified risk will result in a particular lender, insurer, buyer, regulator, or market response.
    • Any action described in Output will produce a specific financial or operational result.

    Limitation of Liability

To the maximum extent permitted by law, Mendria will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenues, business opportunity, goodwill, data, financing proceeds, investment value, or anticipated savings arising out of or relating to:

    • Your access to or use of, or inability to access or use, the website or services.
    • Reliance on public materials, previews, or demonstration Output.
    • Errors, omissions, delays, or inaccuracies in any non-contracted materials.
    • Decisions made based on website content, demos, or general informational Output.

To the maximum extent permitted by law, Mendria’s total aggregate liability arising out of or relating to these Terms or the website will not exceed one hundred U.S. dollars ($100), unless a separate written agreement states otherwise.

    Indemnification

You agree to defend, indemnify, and hold harmless Mendria, its affiliates, officers, directors, employees, contractors, and agents from and against any claims, damages, liabilities, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to:

    • Your misuse of the website, Mendria Materials, or Services.
    • Your violation of these Terms.
    • Your violation of applicable law or third-party rights.
    • Your use of Output in a manner inconsistent with these Terms or any applicable written agreement.

    Force Majeure

Mendria will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, extreme weather, war, terrorism, civil unrest, labor disputes, governmental actions, power failures, internet outages, cloud provider disruptions, cyberattacks, or other events outside Mendria’s reasonable control.

    Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Continued use of the website or services after updated Terms are posted constitutes acceptance of the revised Terms.

    General Provisions

Governing Law. These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Venue. Any dispute arising out of or relating to these Terms shall be brought in the state or federal courts located in Delaware, unless otherwise required by applicable law or agreed in writing.

Assignment. You may not assign or transfer these Terms without Mendria’s prior written consent. Mendria may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of its assets.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver. Mendria’s failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Entire Agreement. These Terms, together with the Privacy Policy and any other policies expressly referenced here, constitute the entire agreement between you and Mendria regarding use of the website and non-contracted public materials.
